Terms of Service

1. Who this agreement is with

These terms are between you (the business signing up, referred to as "you" or the "merchant") and the operator of Counter ("we", "us"). [Operator: replace this paragraph with your registered legal entity name, type (e.g. private limited company), and registered address before launch.]

2. What Counter is

Counter is point-of-sale and retail back-office software for physical stores: a till for ringing up sales, inventory and stock tracking, order history and returns, and a back-office for managing branches, staff and catalog. You're responsible for the accuracy of the data you enter — pricing, GST rates, HSN codes, and stock counts — and for complying with tax and consumer-protection law in the way you use it.

3. Your account

You're responsible for keeping your account credentials and till PINs confidential, and for all activity under your account. Tell us immediately if you suspect unauthorized access.

4. Plans, trials and billing

Counter offers Starter, Growth and Pro plans. During early access, no plan is billed automatically — we don't store payment details, and we'll tell you in writing before any paid billing begins. Once billing is live, this section will describe how subscriptions renew, how to cancel, and our refund policy.

5. Your data

You own the data you put into Counter — products, orders, customer records, staff details. We process it to provide the service and don't sell it. See our Privacy Policy for details on what we collect and why.

6. Uptime and support

We aim for high availability but don't currently offer a formal uptime SLA — this is early-access software and you should keep offline fallbacks (a paper log, a spare device) for critical sale days until that changes.

7. Termination

You can stop using Counter at any time; ask us to export or delete your data when you do. We may suspend accounts that violate these terms or where required by law, with notice where practical.

8. Liability

Counter is provided as-is during early access. To the extent permitted by law, we aren't liable for indirect or consequential losses arising from use of the service, including lost sales from downtime or data entry errors.
